By accessing and using DDFlow, you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use our service.

2. Description of Service

DDFlow provides a secure virtual data room and Q&A management platform for M&A due diligence processes. The service includes document management, question tracking, role-based access controls, and activity logging.

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

  • Maintaining the accuracy of your account information
  • Maintaining the security and confidentiality of your account credentials
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring compliance with these Terms by all users in your workspace

4. User Content

You retain all rights to the content you upload to DDFlow. However, by uploading content, you grant us a license to store, process, and display that content as necessary to provide our services.

Content License

By uploading documents and data to DDFlow, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content solely for the purpose of providing and improving our services.

Prohibited Content

  • Content that violates any law or regulation
  • Content that infringes on intellectual property rights
  • Malicious code, viruses, or harmful software
  • Spam, unsolicited communications, or deceptive content

5. Acceptable Use

You agree not to:

  • Interfere with or disrupt the service or servers
  • Access any system without authorization
  • Reverse engineer, decompile, or disassemble the service
  • Use automated systems to access the service without permission
  • Resell or transfer the service to third parties

6. Intellectual Property

The DDFlow platform, including all software, design, text, graphics, and other content, is the property of DDFlow Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of our service without explicit permission.

8. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may also terminate your account at any time through your account settings. Upon termination, your right to use the service ceases immediately.

9. Disclaimers

DDFlow is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, DDFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Indemnification

You agree to indemnify and hold DDFlow harmless from any claims, damages, losses, and expenses arising from your use of the service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in New York County, New York.
